1. Introduction
Welcome to Mixpeek Inc. ("Mixpeek," "we," "us," or "our"). These Terms and Conditions govern your use of Mixpeek's multimodal data processing and retrieval platform (the "Service"). By accessing or using the Service, you agree to be bound by these terms.
2. Definitions
- Service: Mixpeek's multimodal data processing and retrieval platform
- User: Any individual or entity accessing or using the Service
- Content: Any data, files, or information uploaded to or processed through the Service
- Features: Extracted data attributes including but not limited to embeddings, detected objects, and metadata
- Collections: Groupings of processed documents with consistent schemas
- Buckets: Storage containers for raw objects and associated files
3. Service Description
Mixpeek provides a multimodal data processing and retrieval platform that enables users to:
- Ingest and store various types of media (text, images, videos, audio, PDFs)
- Extract features and metadata from uploaded content
- Process and analyze multimodal data through pipelines
- Search and retrieve content across different media types
- Organize and manage data through collections and buckets
4. User Responsibilities
As a user of the Service, you agree to:
- Provide accurate and complete information when creating an account
- Maintain the security of your account credentials
- Use the Service in compliance with all applicable laws and regulations
- Not upload content that infringes on intellectual property rights
- Not use the Service for any illegal or unauthorized purpose
- Not interfere with or disrupt the Service's operation
- Not attempt to reverse engineer or decompile the Service
- Not use the Service to store or process sensitive personal information without proper consent
5. Data Processing and Storage
Regarding your use of the Service:
- You retain all rights to your uploaded content
- We process and store your data in accordance with our Privacy Policy
- We implement reasonable security measures to protect your data
- You are responsible for backing up your data
- We may temporarily suspend or terminate access to the Service for maintenance or security reasons
- We may delete inactive accounts and associated data after 12 months of inactivity. We will email the account owner before we do
6. Feature Extraction and Processing
Regarding our feature extraction and processing capabilities:
- We use machine learning models to extract features from your content
- Feature extraction accuracy may vary based on content quality and type
- We regularly update our models to improve accuracy and performance
- You acknowledge that feature extraction results are not guaranteed to be 100% accurate
- We may limit or restrict certain feature extraction capabilities based on content type or size
7. API Usage and Rate Limits
Regarding API access and usage:
- API access is subject to rate limits based on your subscription tier
- We may modify rate limits with reasonable notice
- You agree not to exceed your allocated API quotas
- We may throttle or suspend API access if limits are exceeded
- API endpoints and parameters may be updated with reasonable notice
8. Fees, Billing, and Cancellation
If you are on a paid plan:
- Fees, included quotas, and overage rates are those shown on your plan at the time you subscribe
- Payments are processed by Stripe. We do not store full payment card numbers
- Subscriptions renew automatically for the same term until you cancel
- You can cancel at any time. Cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where the law requires it
- Fees are exclusive of taxes, and you are responsible for any that apply
- If an invoice goes unpaid we may suspend the Service after giving you notice and a chance to fix it
- We may change pricing for a renewal term with at least 30 days' notice before that term begins
9. Privacy, Subprocessors, and Security
Our handling of your content and personal information is governed by the Privacy Policy, which lists the subprocessors that can process customer data, the third-party model providers content may be sent to, and the regions we process in. Our current certification status is published at mixpeek.com/trust.
The hosted Service processes data in the United States. If you need content to stay inside infrastructure you control, self-hosting is the supported route.
10. Intellectual Property
Regarding intellectual property rights:
- Mixpeek retains all rights to the Service and its underlying technology
- Users retain all rights to their uploaded content
- You grant us a license to process and store your content for the purpose of providing the Service, and for no other purpose
- We do not train foundation models on your content and we do not contribute it to any third party's model training
- Retrieval quality features learn from interaction signals inside your own namespace. Those signals are not pooled across customers
- We may use aggregated, de-identified operational metrics, such as volumes and latencies, to run and improve the Service
11. Limitation of Liability
Mixpeek shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
12. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of significant changes through the Service or via email. Continued use of the Service after changes constitutes acceptance of the new terms.
